Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OmniBiz AI platform ("OmniBiz", "we", "us"), operated by Noor Kin. By creating an account or using the service, you ("you" or the "Merchant") agree to these Terms. If you do not agree, do not use the service.

1. The service

OmniBiz is an omnichannel AI customer-chat platform that connects your messaging channels (such as Facebook Messenger, Instagram, WhatsApp, TikTok, and website chat) and helps you respond to customers using AI grounded in your product catalog and business information, with lead capture and analytics.

2. Eligibility & accounts

• The service is for business use. You must be able to form a binding contract.
• You are responsible for your account credentials and for all activity under your account. Keep your login secure and notify us of any unauthorised use.
• You must provide accurate account and business information and keep it up to date.

3. Your responsibilities

• Platform compliance. You must comply with the terms and policies of each channel you connect (including Meta and WhatsApp Business messaging policies, such as the customer-service window and messaging rules).
• Consent & lawful use. You are responsible for having any consents required to message your customers and to process their data, and for using the service lawfully.
• Content. You are responsible for your product, business-knowledge, and message content, and for reviewing AI-generated replies where appropriate.
• No misuse. Do not use the service to send spam, unlawful, deceptive, or harmful content, to infringe others' rights, or to attempt to disrupt or reverse-engineer the service.

4. AI-generated content

OmniBiz uses AI to generate suggested and automatic replies. AI output can be inaccurate or incomplete. You are responsible for the messages sent from your channels, including automatic replies you have enabled. We recommend using draft/review mode where accuracy is critical. OmniBiz is a tool and does not provide professional advice.

5. Third-party platforms

The service depends on third-party platforms and APIs (e.g. Meta, TikTok) and AI providers. Your use of those platforms is governed by their own terms. We are not responsible for changes, limitations, or outages of third-party platforms, or for actions they take on your connected accounts.

6. Fees

Some features may require a paid subscription. Applicable fees, billing cycle, and plan details are presented at the time of purchase. Unless stated otherwise or required by law, fees are non-refundable. We may change pricing prospectively with notice.

7. Intellectual property

We and our licensors own the OmniBiz platform and all related intellectual property. You retain ownership of your content and data. You grant us the limited rights needed to operate and provide the service to you (including processing described in ourPrivacy Policy).

8. Data & privacy

Our handling of personal data is described in our Privacy Policy andData Deletion page, which are incorporated into these Terms.

9. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate.

10. Limitation of liability

To the fullest extent permitted by law, OmniBiz and Noor Kin will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the amounts you paid to us for the service in the three months before the claim.

11. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the service or other users. On termination, your right to use the service ends; data handling on termination is described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by notifying you. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-laws rules. Disputes will be subject to the courts of Bangladesh, unless otherwise required by applicable law.
